These terms of use (the “Terms and Conditions”) govern the use of generationscryovault.com & gencryo.com (the “Site”). This Site is owned and operated by Generations CryoVault, LLC. This Site is an ecommerce website.
By using this site, you indicate that you have read and understand these Terms and Conditions and agree to abide by them at all times.

Intellectual Property:
All Content published and made available on our Site is the property of Generations CryoVault, LLC and the Site’s Creators. This includes, but is not limited to images, text, logos, documents, downloadable files, and anything that contributes to the composition of our Site.

Acceptable Use:
As a user of our Site, you agree to use our Site legally, not to use our Site for illegal purposes, and not to:
Ø Harass or mistreat other users of our Site;
Ø Violate the rights of other users of this Site;
Ø Violate the intellectual property rights of the Site owners or any third party to the Site;
Ø Hack into the account of another user of this site;
Ø Act in any way that could be considered fraudulent; or
Ø Post any material that may be deemed inappropriate or offensive.

If we believe you are using our Site illegally or in a manner that violates these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site. We also reserve the right to take any legal steps necessary to prevent you from accessing our Site.

Accounts:
When you create an account on our Site, you agree to the following;
Ø You are solely responsible for your account and the security and privacy of your account, including passwords or sensitive information attached to that account; and
Ø All personal information you provide to us through your account is up to date, accurate, and truthful and you will update your personal information if it changes.

We reserve the right to suspend or terminate your account if you are using our Site illegally or if you violate these Terms and Conditions.

Information Collected:
We will only collect and process Personal Information about you where we have lawful bases. Lawful bases include consent (where you have given consent), contract (where processing is necessary for the performance of a contract with you (e.g., to deliver the Services you have requested)) and “legitimate interests.”
We collect information that you give us when you create an account, contact us, or otherwise access or use our Services, any information you voluntarily submit to us, and information regarding how you use the Services. Specifically, the foregoing includes:
Ø Your internet protocol address (i.e., IP address) and, if you access the Services from a mobile application, your unique mobile device ID number and non-email authentication.
Ø Your name, email address, postal address, telephone number, profession, profile picture, credit card information and your responses to surveys that we may ask you to complete for research purposes or to help direct Company activities, the contact information of your representative, your social media account information
Ø Details of any financial transactions you participate in on the Services, including the amount, currency, and method of payment.
Ø Browser and device information and information collected through technologies such as cookies.

Information Uses:
We use the information we collect to:
Ø Deliver and improve the Services and your overall user experience;
Ø To protect, investigate, and deter against fraudulent, unauthorized, or illegal activity;
Ø To link or combine user information with other Personal Information;
Ø To compare and verify information for accuracy and update our records;
Ø Email, text, message, or otherwise contact you with information and updates about us and the Services;
Ø To respond to your comments and questions and provide customer service;
Ø To send you information including confirmations, billing and invoices, technical notices, updates, security alerts, and support and administrative messages;
Ø Analyze how you use the Services with tools such as Google Analytics and other tools to help us understand traffic patterns and know if there are problems with the Services;
Ø Create targeted advertising to promote the Services and engage our users.

Information Shared:
We do not rent, sell, or share your Personal Information with other people or non-affiliated third parties except with your consent or as necessary to complete any transaction or provide any service you have requested or authorized.
To help us do our work, we may provide limited access to some of your Personal Information to the following third parties:
Ø Partners: Sometimes we collaborate with other organizations to deliver the Services. In these cases, we may share your name, contact information and other details you provided when making an account with our partners;
Ø Service Providers: We work with a wide range of third-party providers, notably our database administrators, cloud computing services, advertising services, data analysts, application service providers, bulk SMS services, and other non-governmental organizations;
Ø Payment processors: Payment processors: We work with payment processors such as Stripe to help process credit card transactions and other payment methods made through the Services. These payment processors will store certain information about you. Please refer to their privacy policies to learn more about how they use your Personal Information.

We may store information such as survey responses and contact information that is necessary to enable us to operate effectively and deliver our services. We may also transfer your Personal Information to a third party as a result of a merger, acquisition, reorganization, or similar transaction; when required by law or to respond to legal process; to protect our customers; to protect lives; to maintain the security of the Services; and to protect the rights or property of Company. In such an event, and to the extent legally permitted, we will notify you and, if there are material changes in relation to the processing of your Personal Information, give you an opportunity to consent to such changes.

Securement of personal information:
We take reasonable steps to protect your Personal Information against unauthorized access, alteration, disclosure, misuse, or destruction. Unfortunately, no data transmission or storage system can be guaranteed to be 100% secure. The safety and security of your Personal Information also depends on you. If you have an account with us, you are responsible for keeping your details confidential. Your account is protected by your account password, and we urge you to take steps to keep your Personal Information safe by not disclosing your password and by logging out of your account after each use. We further protect your Personal Information from potential security breaches by implementing certain technological security measures including encryption, firewalls, and secure server software however, these measures do not guarantee that your Personal Information will not be accessed, disclosed, altered, or destroyed by breach of such firewalls and secure server software. By using the Services, you acknowledge that you understand and agree to assume these risks.

We retain your personal data while your account is in existence or as needed to provide you Services. This includes data you or others provided to us and data generated or inferred from your use of the Services.

Sales of Service
These Terms and Conditions govern the sale of services available on our Site:
The following services are available on our Site.
Ø Cryogenic Storage; and
Ø Cryogenic shipping services.
The services will be paid for in full when the services are ordered.

Late payment fee: $15.00 monthly.

These Terms and Conditions apply to all the services that are displayed on our Site at the time you access it. All information, descriptions, or images that we provide about our services are as accurate as possible. However, we are not legally bound by such information, descriptions, or images as we cannot guarantee the accuracy of all services we provide, you agree to purchase services from our Site at your own risk.
Generations CryoVault reserves the right to modify, reject, or cancel your order whenever it becomes necessary. If Generations CryoVault rejects/cancels your order and has already processed your payment, Generations CryoVault shall issue a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund.

Refunds:

Refunds for services:
We provide refunds for services sold on our Site as follows:
Refunds for cryogenic shipping services may be granted if cancellations occur/requested a minimum of 48 hours before the scheduled time, subject to the discretion of Generations CryoVault, LLC.
Refunds for annual prepaid cryogenic storage services will be issued at the discretion of Generations CryoVault, LLC and will be calculated on a pro-rata monthly basis (based on the current monthly billable rate) e.g., you prepay for 1 year of storage at the discounted annual rate of $420.00 (which works out to be $35.00 per month). If you decide to discontinue storage after 6 months, the 6 months of used storage will be considered at the current monthly billable rate of $40 per month. The refunded amount will be $180.”

Payments:
We accept the following payment methods on our Site:
Ø Credit Card;
Ø Debit Card;
Ø ACH;
Ø Direct Debit (recurring monthly).
When you provide us with your payment information, you authorize our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorize us to charge the amount due to this payment instrument.

Consumer Protection Law:
Where any consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply.

Limitation of Liability:
Generations CryoVault, LLC and our directors, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities, and expenses incurred including legal fees from your use of the Site.

Indemnity:
Except where prohibited by law, by using this Site you indemnify and hold harmless Generations CryoVault, LLC and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

Applicable Law:
These Terms and Conditions are governed by the laws of the state of Indiana.

Severability:
If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

Changes
These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our Site and the way we expect users to behave on our Site. We will notify users by email of changes to the Terms and Conditions or post a notice on our Site.

Users outside of the United States of America:
Generations CryoVault is based in the United States. The Services are controlled and operated by Generations CryoVault, LLC from the United States and are not intended to subject us to the laws or jurisdiction of any state, country, or territory other than that of the United States. Your Personal Information will be stored and processed in the United Staes of America by using our services, you consent to the transfer of personal information from your country of residence to the United States, which may have data protection rules that are different from those of your state, country, or territory. In certain circumstances, courts, law enforcement agencies, regulatory agencies or security authorities in those other countries may be entitled to access your Personal Information.
